Seven Seconds Platform Terms

These Platform Terms (“Terms”) govern your use of the technology and services offered by Seven Seconds Agency LLC. (“Seven Seconds”, “we”, “our”, or “us”). By using our platform, including any ordering systems, integrations, dashboards, or APIs (collectively, the “Platform”), you agree to be bound by these Terms and our Privacy Policy.
Platform Overview
Seven Seconds is a technology provider that empowers restaurants with digital ordering solutions, operational tools, data analytics, and payment processing infrastructure. We offer a hosted Platform for restaurants to manage customer interactions, receive orders, and automate online sales. We are not involved in food production or delivery and act solely as a software facilitator and intermediary in the ordering process.
Partner Responsibilities and Limitations
Restaurant clients retain full responsibility for the products and services they provide to customers. This includes ensuring food quality, compliance with health regulations, and fulfillment of orders. While Seven Seconds may provide technical assistance, it is the sole duty of the restaurant to resolve customer-facing concerns unless otherwise stated in a supplemental service agreement.
Business Eligibility and Representation
By using our Platform, you represent that you are authorized to act on behalf of a business or entity with the legal capacity to enter into contracts. You must comply with all local, state, and federal laws, including those related to privacy, health, business operations, and tax reporting.
Account Setup and Security
To access certain features, you must create a business account. You agree to provide complete and accurate information and to maintain the confidentiality of your login credentials. You are responsible for all activities under your account and must notify us immediately of any suspected breach or unauthorized access.
Payment Facilitation and Dispute Handling
Seven Seconds partners with Stripe to process payments on behalf of restaurants. When a customer places an order, funds are first collected by Seven Seconds and then disbursed to the restaurant after applicable fees. The billing descriptor for transactions is “SEVSECFOODORDERING.”
We handle the process of investigating and responding to chargebacks and disputes, including submitting evidence. However, the restaurant is ultimately responsible for reimbursing the full amount of any dispute that is lost, as well as any applicable Stripe dispute fees. Dispute resolution support does not absolve the restaurant of final financial liability.
Use of Third-Party Services
Our Platform may include integrations with third-party applications and services, such as website builders (e.g., Wix), point-of-sale systems, or delivery apps. You acknowledge that your use of such services is governed by their terms and that we are not liable for any interactions or data exchanges that occur through these services.
Content Ownership and Licensing
Restaurants retain ownership of all content they submit to the Platform, including menus, images, logos, business information, and pricing data.
Seven Seconds retains ownership of the design, structure, custom configurations, automations, workflows, and any proprietary logic it develops for the restaurant's use, even when implemented on third-party platforms such as Wix. This includes but is not limited to Velo code, CMS schema design, embedded integrations, and automated processes built for online ordering, payments, and data management.
By using the Platform, the restaurant grants Seven Seconds a limited license to host and display their content as necessary for service delivery. Conversely, the restaurant is granted a limited, non-exclusive, non-transferable license to use the configurations and systems developed by Seven Seconds for the duration of their service engagement.
Upon termination of service, Seven Seconds reserves the right to revoke access to or remove proprietary configurations, automations, or modules that are not part of the client’s original content.
Data and Customer Information
While Seven Seconds facilitates data collection for orders and transactions, restaurants remain the owners of customer data gathered via their storefront. We may use anonymized or aggregated data to improve Platform performance or generate industry insights but do not disclose personal data without explicit consent or legal obligation.
Intellectual Property Rights
All rights, title, and interest in and to the Seven Seconds Platform, including its source code, structure, design elements, custom workflows, branding, and operational logic, are and shall remain the exclusive property of Seven Seconds.
The Platform may utilize third-party infrastructure, such as Wix.com Ltd., for hosting and implementation. Seven Seconds does not claim ownership over Wix’s software or tools but does retain ownership of any enhancements, customizations, or unique systems built using that infrastructure — including any Velo-based code, CMS collections, and client-specific integrations.
Nothing in these Terms shall be construed as transferring any ownership of Seven Seconds' proprietary work to the client. All intellectual property not expressly granted remains with Seven Seconds.
Platform Use Restrictions
You agree not to: (a) attempt to reverse-engineer or access restricted systems; (b) bypass payment infrastructure; (c) use the Platform for unauthorized or unlawful activities; (d) introduce malware or harm to our systems; or (e) interfere with other users’ operations.
Availability and Service Limitations
While we strive for maximum uptime and performance, Seven Seconds does not guarantee uninterrupted access. Scheduled maintenance, technical issues, or third-party outages may cause temporary disruptions, for which we are not liable.
Disclaimer of Warranties
We provide the Platform “as is” without warranty of any kind, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the service will be error-free or continuously available.
Limitation of Liability
In no event shall Seven Seconds be liable for indirect, incidental, special, or consequential damages. Our maximum liability for any claim arising out of this agreement shall not exceed the total amount paid to us by the restaurant in the preceding twelve (12) months.
Indemnification
You agree to indemnify and defend Seven Seconds and its officers, employees, and affiliates against any claims, damages, or losses arising out of your use of the Platform, your business activities, or any violation of these Terms.
Termination and Suspension
We reserve the right to suspend or terminate your account without prior notice in cases of suspected fraud, policy violations, or technical abuse. You may terminate at any time by ceasing to use the Platform, provided all outstanding fees and obligations are resolved.
Legal Jurisdiction and Dispute Resolution
These Terms shall be governed by the laws of the State of New York, without regard to conflict of law provisions. Any dispute shall be resolved through binding arbitration held in New York County, New York, under the rules of the American Arbitration Association. Class actions and jury trials are expressly waived.
Amendments and Modifications
We may update these Terms periodically to reflect changes in our services or legal requirements. Updates will be published on our website, and continued use of the Platform implies acceptance of the revised terms.
